1. About OpenAssistant and These Terms
These Terms of Service ("Terms") govern your access to and use of the OpenAssistant platform, website, applications, and related services (collectively, the "Services"), which are operated by 3Gen Internet Corporation ("OpenAssistant," "we," "us," or "our").
By using the Services, you agree to these Terms. If you are using OpenAssistant on behalf of a company or other organization, you represent that you have authority to bind that entity, and these Terms will apply to that entity.
If you do not agree to these Terms, you may not use the Services.
2. Description of the Services
OpenAssistant provides an AI-powered assistant designed to help with tasks and workflows across email, calendars, messaging platforms, and enterprise systems.
The Services may include:
- Automated scheduling and coordination
- Research and document creation
- AI-powered communication on your behalf
- Recurring tasks and workflow execution
- Integrations with third-party tools and platforms
- Administrative, analytics, and account management features
OpenAssistant may modify, improve, or discontinue portions of the Services at any time. We do not guarantee that any specific feature will always be available.
You acknowledge that:
- The Services may take autonomous actions on your behalf based on your instructions, permissions, and settings.
- OpenAssistant acts based on the preferences, permissions, and information you provide
- Outputs and actions generated by AI are automated and may not always be error-free
3. Definitions
For purposes of these Terms:
"OpenAssistant" means 3Gen Internet Corporation and its affiliates.
"Services" means the OpenAssistant platform, website, applications, software, AI-powered assistants, integrations, and related services provided by OpenAssistant.
"User" or "you" means any individual or entity that accesses or uses the Services.
"Account" means a registered user profile through which the Services are accessed.
"User Content" means any data, information, messages, text, files, or materials submitted, uploaded, or provided by you through the Services.
"Outputs" means content, communications, schedules, or other materials generated by the Services based on User Content or user interactions.
"Third-Party Services" means external platforms, tools, or services that integrate with or are accessible through the Services.
"Subscription" means a paid plan that provides access to premium features of the Services.
4. Account Registration and Responsibilities
To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
If you are using OpenAssistant on behalf of an organization, the organization is responsible for all access and use of the Services under its accounts, including actions taken by authorized users.
You agree to:
- Provide truthful and up-to-date registration information
- Maintain the security of your login credentials
- Promptly notify OpenAssistant of any unauthorized access or security breach
- Ensure that all users on your account comply with these Terms
OpenAssistant is not responsible for any loss or damage resulting from unauthorized use of your account where you failed to maintain reasonable security measures.
We may suspend or terminate access to the Services if we reasonably believe your account has been compromised, is being misused, or is in violation of these Terms.
5. Privacy, Data Protection, and Security
Your privacy and the security of your information are important to us. Our collection, use, and handling of personal data are described in our Privacy Policy, which forms part of these Terms and is available at /privacy.
In addition, OpenAssistant maintains a Trust Center describing our security controls, compliance practices, and data protection measures.
By using the Services, you acknowledge and agree that:
- OpenAssistant may process personal data in accordance with the Privacy Policy and applicable data protection laws
- Data may be stored and processed in the United States or other jurisdictions where OpenAssistant or its service providers operate
- OpenAssistant implements reasonable administrative, technical, and organizational safeguards designed to protect information from unauthorized access, loss, misuse, or disclosure
- Where OpenAssistant processes personal data on behalf of a business customer, OpenAssistant acts as a service provider or processor as applicable under relevant privacy laws, and such processing is governed by applicable data processing agreements where required.
While OpenAssistant takes security seriously and follows industry best practices, no system can be guaranteed to be completely secure, and you acknowledge that you use the Services at your own risk.
6. Subscriptions, Trials, and Billing
6.1 Free Trial
New users are automatically enrolled in a seven (7) day free trial upon account creation.
The trial will expire on the earlier of:
- Seven (7) days after account activation; or
- The consumption of 100 credits.
At the end of the trial period, your account will automatically be transitioned to OpenAssistant's free plan unless you choose to subscribe to a paid plan.
No payment method is required to access the free trial.
6.2 Free Plan
The free plan includes limited functionality, including access to an OpenAssistant booking link and other basic features. Feature availability may change from time to time at OpenAssistant's discretion.
6.3 Paid Subscriptions
Certain features require a paid subscription. If you upgrade to a paid plan:
- You agree to pay the fees associated with your selected plan
- Subscriptions renew automatically on a monthly or annual basis (depending on the plan selected) unless canceled prior to renewal
- You authorize OpenAssistant to charge your selected payment method for applicable fees and taxes
- Subscription fees are non-refundable except as required by law.
6.4 Cancellation
You may cancel your paid subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that time.
If you cancel, your account may revert to the free plan at the end of the billing period.
6.5 Changes to Pricing
OpenAssistant may modify pricing, plan features, or billing terms at any time. If pricing changes affect your existing subscription, we will provide advance notice as required by applicable law.
6.6 Team Accounts and Additional Users
If your subscription allows you to invite additional users or team members to your account, each invited user will be added to your existing subscription plan.
When a new team member is added:
- You will be charged a prorated fee for the remainder of your current billing period (monthly or annual, as applicable)
- Beginning with the next billing cycle, the additional user will be billed at the full per-user subscription rate
You are responsible for all charges associated with users added to your account, including those invited by administrators or authorized users.
Removing a user from your account will stop future billing for that user at the end of the current billing period. Prorated refunds are not provided unless required by law.
6.7 Credits and Usage
AI powered features of the Services consume credits based on usage. Credits are used to perform tasks, actions, workflows, and other activities within the Services.
For paid subscription plans, credits are allocated on a per-user basis and refresh at the beginning of each billing cycle. Unless otherwise specified, paid plans include 1,000 credits per user per billing period.
The number of credits consumed by a task may vary depending on the complexity of the task, the resources required to complete it, the third-party services utilized, and other factors determined by OpenAssistant.
OpenAssistant may offer the ability to purchase additional credits, including pooled team credits that may be shared and consumed by authorized users within the same organization or account.
Unused credits do not carry over to future billing periods unless expressly stated otherwise. Credits have no cash value, are non-transferable, and are not redeemable for cash or refunds.
OpenAssistant may modify credit allocations, consumption rates, available credit packages, or other aspects of its credit system from time to time. Any material changes affecting existing subscriptions will be communicated in accordance with these Terms.
7. Electronic Communications and Notices
By using the Services, you consent to receive communications from OpenAssistant electronically, including through email, in-app messages, or postings within the Services.
These communications may include:
- Account and security notifications
- Billing and subscription updates
- Legal notices and policy changes
- Product updates and service-related announcements
You agree that electronic communications satisfy any legal requirement that such notices be in writing.
You may opt out of non-essential marketing communications at any time, but you may not opt out of important service-related or legal notices.
8. Acceptable Use and Prohibited Conduct
You agree to use the Services only in a lawful manner and in accordance with these Terms.
You may not, directly or indirectly:
- Use the Services in violation of any applicable law, regulation, or third-party rights
- Use the Services to send spam, phishing messages, scams, or other deceptive communications
- Impersonate any person or entity or misrepresent your affiliation
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, systems, or networks
- Reverse engineer, decompile, scrape, or attempt to extract source code, models, or system data
- Use automated scripts or bots to abuse, overload, or circumvent usage limits
- Upload or transmit malicious code, malware, or harmful content
- Use the Services to collect, store, or process sensitive personal data without appropriate legal authority or safeguards
- Use the Services in a way that could reasonably be expected to harm OpenAssistant, its users, or third parties
For enterprise and organizational accounts, you are responsible for ensuring that all authorized users comply with this section.
OpenAssistant reserves the right to suspend or terminate access to the Services if we reasonably believe this section has been violated or if continued use presents a security, legal, or operational risk.
9. Intellectual Property and License
OpenAssistant's Intellectual Property
The Services, including all software, technology, algorithms, models, designs, interfaces, trademarks, documentation, and other materials provided by OpenAssistant (collectively, the "OpenAssistant Technology"), are owned by or licensed to OpenAssistant and are protected by intellectual property laws.
Except for the limited rights expressly granted in these Terms, no rights are transferred to you, and OpenAssistant retains all right, title, and interest in and to the OpenAssistant Technology.
License to Use the Services
Subject to your compliance with these Terms, OpenAssistant grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business or personal purposes, as applicable.
Your Content and AI Outputs
You retain ownership of any information, data, content, or materials you provide to the Services ("User Content").
To the extent the Services generate content, messages, schedules, or other outputs based on your inputs ("Outputs"), you own such Outputs, subject to OpenAssistant's underlying rights in the OpenAssistant Technology.
You grant OpenAssistant a limited license to process User Content and Outputs solely to provide, maintain, secure, and improve the Services in accordance with the Privacy Policy.
Feedback
If you provide suggestions, ideas, or feedback regarding the Services, you grant OpenAssistant a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without obligation or compensation.
10. Third-Party Services and Integrations
The Services may integrate with or link to third-party websites, applications, platforms, or services ("Third-Party Services"), such as calendar providers, note-taking apps, messaging platforms, and other tools. Your use of Third-Party Services is governed by the terms and privacy policies of those third parties, not by these Terms.
OpenAssistant does not control, endorse, or assume responsibility for any Third-Party Services, including their availability, security, content, or data practices. If you connect Third-Party Services to OpenAssistant, you authorize OpenAssistant to access and process data from those services as necessary to provide the Services in accordance with your settings and the Privacy Policy.
OpenAssistant may utilize third-party artificial intelligence models and providers to generate outputs and perform actions through the Services.
11. Disclaimers and No Warranties
The Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by applicable law, OpenAssistant disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, title, and non-infringement.
OpenAssistant does not warrant that:
- The Services will meet your specific requirements or expectations
- The Services will be uninterrupted, timely, secure, or error-free
- Any errors or defects will be corrected
- AI-generated actions, communications, or outputs will always be accurate or appropriate
You acknowledge that the Services rely on automated systems and third-party integrations, and that delays, inaccuracies, or service interruptions may occur.
12. Limitation of Liability
To the fullest extent permitted by applicable law, OpenAssistant and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Services or these Terms, even if OpenAssistant has been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, OpenAssistant's total aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the amounts paid by you to OpenAssistant for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.
13. Dispute Resolution and Arbitration; Class Action Waiver
Except where prohibited by applicable law, you and OpenAssistant agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, rather than in court.
The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and will take place in New York, New York, unless the parties agree otherwise.
Each party will bear its own attorneys' fees and costs, except as required by applicable law or determined by the arbitrator.
Class Action Waiver
You and OpenAssistant agree that any proceedings will be conducted on an individual basis only and not as part of a class, collective, consolidated, or representative action.
You waive any right to participate in a class action or class-wide arbitration.
14. Indemnification
You agree to defend, indemnify, and hold harmless OpenAssistant and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Any content, data, or information you submit through the Services
OpenAssistant reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully in asserting any available defenses.
15. Age Restrictions
You must be at least thirteen (13) years old to use the Services.
By using the Services, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.
If you are using the Services on behalf of an organization, you further represent that you are authorized to bind that organization to these Terms.
16. Assignment
OpenAssistant may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without restriction.
You may not assign or transfer these Terms or your rights or obligations under them without OpenAssistant's prior written consent. Any attempted assignment in violation of this section will be null and void.
These Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
17. Changes to These Terms
OpenAssistant may update these Terms from time to time.
If we make material changes, we will notify you through the Services or by email. Updated Terms will become effective upon posting unless otherwise stated.
Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
18. Force Majeure
OpenAssistant will not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, governmental actions, war, terrorism, labor disputes, power failures, or internet service disruptions.
Performance obligations affected by such events will be suspended for the duration of the force majeure event without being considered a breach of these Terms.
19. Governing Law
These Terms will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
20. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
21. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and OpenAssistant regarding the Services and supersede all prior or contemporaneous agreements, communications, or understandings.
